Subscription Agreement

This Subscription Agreement ("Agreement") is made effective as of the date of subscription ("Effective Date") by and between the subscribing user ("Subscriber") and Brite Path Enterprises LLC of 5806 Chalet Circle, Louisville, Kentucky 40228 ("OfferIQ™" or "Provider").

OfferIQ™ is a subscription-based real estate deal analysis platform providing live comparable sales data, automated Maximum Allowable Offer (MAO) calculations, GO or NO GO deal verdicts, AI-powered seller scripts via CoachIQ™, strategic deal analysis via DealIQ™, contract generation, and buyer matching via DealStream™. Access is provided on a monthly or annual subscription basis per the selected tier.

Subscription pricing is as follows: Starter at $79.00 per month, Pro at $149.00 per month, Elite at $297.00 per month, and Founder at $997.00 per year. All subscription fees are non-refundable. No refunds or prorated credits will be issued for unused time or early cancellation. Subscribers may cancel at any time but will retain access through the end of their current billing period. Brite Path Enterprises LLC reserves the right to modify pricing with 30 days advance notice to subscribers.

This Agreement continues on a month-to-month or annual basis depending on the subscription tier selected by the Subscriber, and automatically renews at the end of each billing period unless cancelled by the Subscriber prior to renewal.

Either party may end this Agreement with or without cause upon 30 days written notice. Written notice via email to support@tryofferiq.com constitutes sufficient notice. Upon cancellation, the Subscriber will retain access through the end of the current billing period. No refunds will be issued for early termination.

The platform, its code, features, brand names including OfferIQ™, CoachIQ™, DealIQ™, MAP™, DealStream™, and AIS™, and all intellectual property remain the sole and exclusive property of Brite Path Enterprises LLC.

OfferIQ™ will not divulge, disclose, or communicate any information that is proprietary to the Subscriber without authorization. This provision continues after termination of this Agreement.

Failure to make a required payment when due, insolvency, or failure to deliver services constitutes a material default. The non-defaulting party may terminate this Agreement by providing written notice. The defaulting party shall have 10 days to cure the default before automatic termination takes effect.

If performance is prevented by causes beyond either party's reasonable control including acts of God, epidemic, pandemic, fire, explosion, supplier failures, or national emergencies, the affected party's obligations shall be suspended to the extent necessary.

All disputes will be resolved by binding arbitration under the rules of the American Arbitration Association. The arbitrator's decision will be final and binding. All arbitration will take place on an individual basis. Class arbitrations and class actions are not permitted.

This Agreement shall be governed by the laws of the Commonwealth of Kentucky.

OfferIQ™ may modify these terms with 30 days advance written notice to Subscribers. Continued use of the platform after the effective date of any amendment constitutes acceptance of the updated terms.
